Terms and Conditions

Please read these Terms and Conditions carefully before using ContentHQ.

1. Interpretation and Definitions

The words of which the initial letter is capitalized have meanings defined under the following conditions. These definitions have the same meaning whether they appear in singular or plural form.

Application / Service means the ContentHQ web application and related services, accessible at contenthq.me and any associated subdomains.

Account means a unique account created for You to access our Service.

Company (referred to as "the Company", "We", "Us", or "Our") refers to ContentHQ, Inc..

Content refers to text, images, video, audio, or other information that You post, upload, link to, or otherwise make available on Your ContentHQ profile.

Country refers to United States.

Device means any device that can access the Service, such as a computer, a cellphone, or a digital tablet.

Pro / Business Plans refer to paid subscription tiers offered by the Company.

Terms mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

Third-party Service means any service or content (including data, information, products, or services) provided by a third party that may be displayed, included, or made available by the Service.

You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.

2. Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement between You and the Company. By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, please do not use the Service.

Eligibility

By using the Service, You represent that:

1. You are at least 13 years of age. The Company does not permit those under 13 to use the Service.
2. You are not a person who is barred from receiving the Service under the laws of the United States or any other applicable jurisdiction.
3. You are not a convicted sex offender.
4. You will comply with these Terms and all applicable local, state, national, and international laws.

If You are using the Service on behalf of a business or entity, You state that You are authorized to agree to these Terms on behalf of that business or entity.

3. User Accounts

When You create an account with Us, You must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of Your account.

You are responsible for safeguarding the password You use to access the Service and for any activity or actions under Your password, whether with Our Service or a third-party login provider. You agree not to disclose Your password to any third party.

You may not use as a username the name of another person or entity, a name or trademark that is subject to the rights of another person or entity without authorization, or a name that is otherwise offensive, vulgar, or obscene.

4. Subscriptions and Billing

ContentHQ offers both free and paid subscription plans (Lite, Plus, Pro, and Ultra). Paid plans are billed on a recurring monthly basis via Stripe. You can cancel Your subscription at any time through the billing portal. Fees already paid are non-refundable except where required by law.

All billing and transaction processes are handled by Stripe and governed by Stripe's own terms and conditions. We do not store or collect Your payment card details directly.

AI credits. Some plans include a monthly credit allowance, and additional credits may be purchased separately as a top-up. Credits are an entitlement to use the AI Studio — they are not currency, not a token or prepaid voucher, carry no cash value, and cannot be transferred, sold, gifted, or exchanged between accounts. Purchased credits are non-refundable and cannot be redeemed for cash, except where required by law.

Expiry and spending order. Monthly plan credits are valid for the billing period in which they are granted. They do not roll over — any monthly credits left unused when the period ends are forfeited, and a new allowance is granted for the next period. Credits You purchase as a top-up do not expire while Your account remains open. When You run a generation, we spend Your monthly credits first and only draw on Your purchased credits once the monthly allowance is exhausted, so the credits that expire soonest are always used first. If a generation fails through no fault of Your own, the credits reserved for it are returned to Your balance automatically. You can review every grant, charge, refund, and expiry in Your credit history. We may change credit pricing prospectively; changes do not affect credits You have already purchased.

5. Content

Your Right to Post Content

Our Service allows You to post Content. You are responsible for the Content You post, including its legality, reliability, and appropriateness.

By posting Content to the Service, You grant Us a non-exclusive, worldwide license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain all of Your rights to any Content You submit, post, or display on or through the Service.

You represent and warrant that:

1. The Content is Yours or You have the right to use it and grant Us the rights and license as provided in these Terms;
2. You have obtained all rights, licenses, consents, permissions, power, and/or authority necessary to grant the rights granted in these Terms for any Content You submit;
3. Posting Your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person.

Content Restrictions

You may not transmit any Content that is:

1. Unlawful or that promotes unlawful activity.
2. Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national or ethnic origin, or other targeted groups.
3. Spam, machine- or randomly-generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
4. Containing viruses, worms, malware, trojan horses, or other content designed to disrupt, damage, or limit the functioning of any software or hardware.
5. Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, or right of publicity.
6. Impersonating any person or entity, including the Company and its employees.
7. Violating the privacy of any third person.
8. False or misleading information.

The Company reserves the right, but has no obligation, to determine whether any Content is appropriate and complies with these Terms, and to remove Content or limit or revoke Your use of the Service if You post objectionable Content.

Age-Restricted Content (18+)

ContentHQ allows users on the Lite plan and above to mark certain links as age-restricted. These links present visitors with an 18+ confirmation before redirecting. By marking Content as 18+, You represent that the destination content is legal in your jurisdiction and does not violate our Content Restrictions above. The Company is not responsible for the content of external websites You link to.

Child Safety Standards

ContentHQ, Inc. is committed to protecting children who use or encounter ContentHQ. We strictly prohibit:

1. Child Sexual Abuse and Exploitation (CSAE) content of any kind.
2. Any content that endangers children.
3. Inappropriate interactions with minors.
4. Using the Service to groom, isolate, or otherwise harm minors.

We actively monitor for and remove any violations of these standards, and we will cooperate with law enforcement where required.

6. AI Studio and Generated Content

The AI Studio lets You generate and edit images, video, and audio using third-party machine-learning models. This section applies in addition to the Content rules above.

Your Inputs

When You upload an image, video, or audio file to the AI Studio (an “Input”), You represent and warrant that You own it or hold all rights, licenses, and permissions necessary to use it in this way, and that its use does not infringe the rights of any third party.

Likeness and Consent

You may only upload or generate images depicting a real, identifiable person if that person is You, or if You have that person’s express permission for the specific use.

You may not use the Service to create sexualised, intimate, nude, or body-altered depictions of any real person without their express consent. This applies however the likeness reaches the model — an uploaded photo, a face swap, a reference image, or a text description. Content depicting a real person in a sexual or intimate manner without their consent is prohibited absolutely, will be removed on notice, and will result in permanent termination of Your account.

Never Permitted

Regardless of consent, plan, or account status, You may not use the AI Studio to generate:

1. Any sexual or suggestive depiction of a minor, or of any person appearing to be a minor.
2. Content depicting non-consensual sexual activity, or non-consensual nudity of any real person.
3. Content intended to defraud, harass, defame, stalk, bully, or impersonate any person or organisation.
4. Extreme gore, including imagery of bodily destruction or mutilation.
5. Content promoting or facilitating violence, terrorism, self-harm, human trafficking, or sexual violence.
6. Hateful content targeting people on the basis of a protected characteristic.
7. Large-scale disinformation, coordinated inauthentic behaviour, fake reviews, or fake engagement.
8. Political advertising or propaganda that does not disclose its origin.
9. Material that assists in developing weapons, including weapons of mass destruction.
10. Content or systems used to make automated decisions about a person’s employment, credit, housing, education, or legal rights, or that discriminate on the basis of a protected characteristic.
11. Malicious code, or anything designed to disrupt or gain unauthorised access to a system.
12. Content that violates any law applicable to You or to the Company.

You may also not use the Service, or any Output, in life-critical or safety-critical settings — including medical, nuclear, aviation, transport control, power grid, or life-support applications — nor to systematically scrape or extract personal data.

Disclosing AI Involvement

You must not misrepresent Output as human-created where doing so would mislead someone to their detriment, and You must comply with any law or platform rule requiring AI-generated media to be labelled as such.

Model Providers

Generations are executed by third-party model providers. Your use of the AI Studio must also comply with those providers’ acceptable-use terms, which we pass through to You and which are at least as restrictive as this section. We may suspend a model, or Your access to it, if a provider requires it or if a provider’s terms change. Because the Company is responsible to those providers for all activity carried out through our account, a breach of this section by You is a material breach of these Terms.

Age-Restricted Tools

Certain models and editing tools are available only to accounts that have verified they are 18 or older. Providing a false date of birth to reach these tools is a breach of these Terms and grounds for immediate termination. Access to a tool is not a representation by the Company that any particular output is lawful in Your jurisdiction — that remains Your responsibility.

Ownership and Responsibility

As between You and the Company, You own the outputs You generate, subject to these Terms and to the terms of the underlying model providers. You are solely responsible for how You use, publish, or distribute those outputs. Outputs are produced by third-party machine-learning models: the Company does not warrant that any output is accurate, original, non-infringing, or fit for any purpose, and identical or similar outputs may be generated for other users.

Reporting Content That Depicts You

If You believe content on ContentHQ depicts You without Your consent, email [email protected] with the URL and a short description. We review these reports as a priority and will remove violating content promptly.

7. Copyright Policy (DMCA)

We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property right.

If You are a copyright owner or authorized on behalf of one, and You believe copyrighted work has been infringed on the Service, please submit Your notice in writing to our Copyright Agent via email at [email protected]. Your notice should include:

1. An electronic or physical signature of the person authorized to act on behalf of the copyright owner.
2. A description of the copyrighted work that You claim has been infringed.
3. The URL where the infringing material is located on our Service.
4. Your address, telephone number, and email address.
5. A statement that You have a good-faith belief that the disputed use is not authorized.
6. A statement made under penalty of perjury that the information is accurate and that You are the copyright owner or authorized to act on their behalf.

Other Rights — Likeness, Privacy, and Reputation

Copyright is not the only right we act on. If You believe Content on the Service infringes Your rights of publicity or likeness, Your privacy, or Your reputation — including AI content that depicts You without Your consent — email [email protected] with the URL, a description of the right You are asserting, and how we can reach You. You do not need to be a copyright owner, and You do not need a lawyer, to make this kind of report. We aim to acknowledge these reports within 3 business days and act on verified reports promptly. Reports of sexual content depicting a minor, or intimate images shared without consent, are treated as an emergency and actioned ahead of everything else.

If Your Content is removed after a report and You believe that was a mistake, You may reply to our notice to contest it, and we will review the decision.

8. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.

9. Verified Badge

ContentHQ may issue a "verified" badge to certain accounts at its sole discretion. The badge's appearance is controlled exclusively by the Company; users cannot customize it. The badge does not imply endorsement, only that the Company has confirmed the account represents the person or entity it claims to. The Company may revoke the badge at any time for any reason.

10. Links to Other Websites

Our Service allows users to publish links to third-party websites. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You further acknowledge and agree that We shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of any such third-party content or services.

11. Termination

We may terminate or suspend Your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms. Upon termination, Your right to use the Service will cease immediately.

You may terminate these Terms at any time by deleting Your account.

Appealing a Suspension

If You believe we have suspended, restricted, or deleted Your account in error, You may appeal by emailing [email protected] from the address on the account. Tell us Your username and what You believe happened. We aim to review appeals within 14 days and will tell You the outcome. Where an account was suspended for content that sexualises a minor, we do not restore the account.

If We Discontinue the Service

If we decide to shut down the Service or a paid feature You have bought, we will give You advance notice, a reasonable window to export Your content, and a refund of any purchased credits You have not used and any prepaid subscription period You have not received. This does not apply where Your account was terminated for breach of these Terms.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost business, business interruption, or loss of data — arising out of or related to Your use of the Service, even if we have been advised such damages are possible, and notwithstanding the failure of any remedy.

Cap. To the maximum extent permitted by applicable law, our total cumulative liability to You for all claims arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, will not exceed the greater of (i) USD $100 or (ii) the amount You paid us in the twelve months immediately before the event giving rise to the liability.

What these limits do not cover. These limits do not apply to Your obligations under the Indemnification section below, or to Your breach of the AI Studio restrictions in Section 6. Nothing in these Terms excludes or limits liability for gross negligence, fraud, or wilful misconduct, and nothing in these Terms affects consumer rights that cannot be waived or limited by law. If Your jurisdiction does not allow some of these exclusions, they apply to You only so far as that law permits.

Time limit for claims. Any claim arising out of or relating to the Service must be brought within one year after it arises, or it is permanently barred, unless applicable law requires a longer period.

13. Indemnification

You are responsible for how You use the Service. If You harm someone else, or get into a dispute with someone else over what You made or posted, that is between You and them.

To the extent permitted by law, You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any claim, demand, action, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or relating to:

1. Your Content, Your Inputs, or any Output You generate, publish, or distribute;
2. Your use of the Service, including the AI Studio;
3. Your breach of these Terms or of any representation or warranty You make in them;
4. Your violation of any law, or of the rights of any third party — including rights of privacy, publicity, likeness, or intellectual property; or
5. Your breach of the acceptable-use terms of any third-party model provider whose models You access through the Service.

This obligation survives termination of Your account. We will notify You of any claim we believe is covered by this section and may, at our own expense, participate in its defence. You may not settle any claim in a way that imposes an obligation on the Company without our prior written consent.

14. "AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

15. Governing Law

The laws of the United States, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.

16. Changes to These Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new terms, please stop using the Service.
